While doing a link exchange with other website please do keep in mind 
few points:

There should be a link from home page to the link exchange of 
particular website link directory.

The page where your link is being place should have google ranking. A 
page without a google rank will not help in increase your ranking.

A good link exchange directory should not have more than 30 to 40 
reciprocal link on a web page.

your web page should be validate with http://validator.w3.org/
